
INTEL, ST MICRO JV APPROVED
SANTA CLARA 09/04/07 World chip leader Intel has gotten the go-ahead from the European Commission for a proposed joint venture with the French-Italian group ST Microelectronics to produce and distribute flash memory worldwide.
"The transaction would not significantly impede effective competition in the European Economic Area (EEA) or any substantial part of it," the commission said in a statement.
The joint venture will operate under the name Numonyx and is worth an estimated $3.6 billion. Like ST Microelectronics, the new company will be headquartered in Geneva, Switzerland.
Flash memory is a type of memory which is widely used in data storage cards, in mobile phones and other portable devices.
The European Union's antitrust watchdog found that strong competitors are present for their products and customers would be able to continue sourcing their needs from a sufficient number of alternative vendors.
ST Microelectronics is active in the semiconductor industry and offers a broad range of semiconductor products, from discrete diodes and transistors to complete platform solutions.
California-based Intel offers microprocessors, chipsets, and other semiconductor components, as well as platform solutions for data processing and communications devices.
The private equity firm Francisco Partners of Menlo Park, California handled the financing for the deal.
The company focuses exclusively on investments in technology and technology-enabled services businesses and claims approximately $5 billion of committed capital with transaction values ranging from $30 million to $3 billion.

SANDISK REJECTS SAMSUNG ACQUISITION BID

MILPITAS 09/24/08 US flash memory maker SanDisk Corp. has reportedly rejected a $5.9 billion bid by top memory chip-maker, Samsung Electronics Co., but said it would not rule out a deal at a better price; SanDisk said in a statement that Samsung's $26-a-share cash offer undervalued the company, but it remained open to a deal with Samsung at a price that recognizes its "intrinsic value."
